Functional Patterns Privacy Policy

Welcome to the Privacy Policy (the "Policy") of Functional Patterns LLC, and its related, affiliated or subsidiary companies ("Functional Patterns"). The purpose of this Policy is to inform you how we collect, use, and share your information when you provide such information or use Functional Patterns' website available at https://functionalpatterns.com and mobile app available at https://Learning.functionalpatterns.app (collectively, the "Sites"), as well as other related Functional Patterns' webpages and products or services accessible through the Sites or offered at Functional Patterns events or in-person training classes or courses (collectively the "Services").

When we refer to "you" or "your" in this Policy we mean any individual who interacts or uses our Services. By using the Services, you represent that you understand and agree to this Policy, and consent to the collection, use, and sharing of information as described in this Policy. If you do not consent to our practices, you can choose not to use the Services.

Privacy Policy Changes. We reserve the right to modify this Policy at any time without notice. All changes are effective immediately upon posting. Your continued use of the Services after changes are posted constitutes your acknowledgement of the modified privacy policy and agreement to abide and be bound by that privacy policy. For reference, the effective date of this Policy is posted at the top of this page. Therefore, it is important that you periodically check this page for changes made to this Policy.

Data Controllers and Practitioner Relationships

For the purposes of applicable data protection law, there may be two data controllers responsible for your personal data:

Your Independent Functional Patterns Practitioner
Your practitioner is an independent contractor licensed by Functional Patterns LLC to provide training services. They operate their own facility and are responsible for the personal data they collect and process in connection with your training relationship. Your practitioner's contact details will be provided to you directly.

Each controller is independently responsible for compliance with data protection law for the personal data they process. This Policy covers the collection and use of your data by both Functional Patterns LLC and your practitioner in connection with the Services.

INFORMATION WE COLLECT

Information You Voluntarily Provide

Functional Patterns collects information about you when you interact with our Services including information that you voluntarily provide when you use the Services; register and create an account for any of the Services; complete any survey, questionnaire, application, or other form of information request from Functional Patterns; purchase our products; provide a personal testimony about your Functional Patterns' experience; sign up to Functional Patterns' community to receive our newsletter; add or update your account information; submit a Contact Us inquiry; log into the Sites or use the Services from one or more of your devices or otherwise interact with the Services. Information that we collect may depend on how you interact with Functional Patterns and use the Services. A description of the types of information we may collect is described in detail below.

·       Profile Data such as user name, password, and user settings

·       Personal Identifiers such as name, address, date of birth, copy of a government issued ID (passport, driver's license, or national ID card), billing information and social media accounts

·       Contact Information such as your billing address, delivery address, email address, and telephone numbers

·       Financial Information such as credit or debit card information, payment details, or other payment information

·       Commercial Data such as order amount, details about the products and services you have purchased, payments you have made, and/or other details of products and services you have purchased from us in the past

·       Usage Data, includes information about how you use our Site and Services, such as statistics regarding the opening and clicking on emails, and other activities on the Site, including abandoned cart items, referring/exit pages, and clickstream data

·       Marketing and Communications Information such as marketing campaign data, click-throughs, your preferences and consent to receiving marketing from us and third parties, your communication preferences, email, phone calls, and text communications

·       Professional or Employment Information such as information about your job position/occupation

·       Health and Fitness Information such as injuries, medical history, fitness goals, physical assessments, training session notes, and progress records (collected by practitioners in connection with training services)

·       Testimonials Data such as your image, age, gender, pre-existing physical conditions, dysfunctions/biomechanics issues, modalities of training done in the past, descriptive information (e.g. weight, medical history, background, progress and benefits from Functional Patterns), your signature as well as date and time of signature

·       Audio and Visual Information such as audio recordings, photographs, and video recordings (where consent is provided)

·       NDA-Related Data such as electronic signature, IP address and device information (if NDA is signed electronically via e-signature platform), and date and time of NDA execution

Information We Collect When You Use the Services

Automated technologies or interactions. As you navigate around the Sites and/or use the Services, certain information can be collected using various technologies to help us personalize your Functional Patterns' experience. This information may include internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, operating system, date/time stamp, time zone setting and location, language preferences, device type and ID, and other technical information from the devices you use to access our Services.

Cookies and Tracking Technologies. We and our service providers use cookies, pixels, and other tracking technology to recognize your browser or device and to capture and remember certain information about your activities on our Services with the purpose of delivering customized and personalized services.

·       Cookies. A cookie is a small text file that is saved on your web browser when you visit a website. You can view and delete existing cookies through your browser. If you do not want to store cookies on your computer, you can set your browser to refuse cookies or to alert you when cookies are being sent. However, some parts of the Services may not function properly if you choose not to accept cookies.

·       Pixel Tags (aka clear gifs). These are tiny graphics with a unique identifier, similar in function to cookies, which allow us to monitor the use of our Services, for example, to count users who have visited those pages and for other related website statistics. Pixel tags generally work in conjunction with cookies, registering when a particular device visits a particular page. You cannot decline pixel tags; however, if you turn off cookies the pixel tag will simply detect an anonymous visit. In addition, we use pixel tags in our HTML-based emails to let us know which emails have been opened by the recipients. This allows us to gauge the effectiveness of certain communications and the effectiveness of our marketing campaigns.

·       Analytics. We use third party cookies provided by Google Analytics to assist us in better understanding our Sites' visitors. These cookies collect IP address and usage data, such as the length of time a user spends on a page, the pages a user visits, and the websites a user visits before and after visiting our Sites. In addition to reporting usage statistics, Google Analytics can also be used to help show more relevant ads on Google properties (like Google Search) and across the web. ·       We and our service providers use cookies, pixel tags, and similar technologies to recognize your browser or device, remember your preferences, and analyze site usage.

·       Some cookies are essential for site operation, while others improve functionality or enable analytics/advertising.

·       For users in the EEA, UK, and other regions where required by law, non-essential cookies (including analytics and advertising) will only be set with your consent.

·       Upon visiting our website from these regions, you will be presented with a cookie consent banner or tool allowing you to manage cookie settings and preferences.

Information You Provide to A Third Party

We may receive information about you from third parties. We may associate this information with the other information we have collected about you as described in this Policy. The collection, use, and disclosure of information received from third parties may be governed by the third parties' privacy policies. Please carefully review these third-party privacy policies before submitting your information to a third-party application or otherwise interacting with it to understand how your information may be collected, used, and disclosed by these third parties. We have no control over, and cannot and do not assume responsibility for the data collection and privacy practices employed by any of these third parties or their services.

USE OF YOUR INFORMATION

Our primary purpose for collecting your information is to provide you with the goods and services you request. We may also use your information for the following purposes:

·       Provide you with our goods and Services and to operate our business

·       Verify your identity and account information in connection with our goods and Services you request, including identity verification for Non-Disclosure Agreement (NDA) execution to prevent fraud or impersonation

·       Execute, administer, and enforce Non-Disclosure Agreements protecting Functional Patterns' confidential information and intellectual property

·       Provide you with required notices, updates about our courses, testimonials, products and services as well as other important information

·       Provide you with recommendations for products and services that we believe would be of interest to you

·       Assist you with setting up and managing your account with us

·       Resolve disputes and/or questions about our goods and Services

·       Problem troubleshooting, data analysis, testing, system maintenance, support, reporting and hosting data

·       Enforce our Terms for use of our Services and the terms of this Policy

·       Customize, measure and improve our Services and content

·       For our own internal business purposes

·       Communicate with you about products, services, updates, events, promotional offers, research, insights, and other information that may be of interest to you from us and our trusted partners

·       Protect our interests, including establishing, exercising and defending legal rights and claims, and protecting Functional Patterns' proprietary exercise techniques, methods, equipment designs, and other confidential business information from unauthorized disclosure or misuse

·       For practitioners and other contractual counterparties, we process and retain limited personal data (such as identity and contact details, contractual records, and necessary correspondence) where needed for the performance of our contracts, compliance with legal and tax obligations, and our legitimate interests in managing our relationships and defending potential legal claims (for example, for the duration of applicable limitation periods or contractual obligations such as NDAs)

·       As necessary to comply with legal requirements, to prevent fraud, to co-operate with law enforcement and regulatory authorities, and to stop other prohibited, illegal, or harmful activities

·       For purposes disclosed at the time you provide/we request your information or as otherwise set forth in this Policy

Lawful Basis for Processing (GDPR/UK GDPR)

Under applicable data protection law (including UK GDPR and EU GDPR), we must have a lawful basis to process your personal data. We rely on the following lawful bases:

       Performance of a contract: Processing your personal data, including identification documents, is necessary to enter into and perform contracts with you, including NDAs and training services agreements.

       Legitimate interests: We have a legitimate interest in verifying client identity, preventing fraud, protecting our intellectual property, enforcing confidentiality obligations, maintaining secure business records, and operating our business effectively. We have balanced these interests against your rights and freedoms and determined that processing is proportionate and does not override your interests.

       Legal obligation: In some cases, we may be required to retain or disclose your data to comply with legal or regulatory obligations (e.g., court orders, tax or employment law requirements).

       Consent: Where required by law or where we seek to process certain special categories of data (such as health information for training purposes), we will obtain your explicit consent.

Provision of Identification Documents

Providing a copy of your photographic identification is a contractual requirement to sign the Functional Patterns NDA and access training services under the Functional Patterns licensing system. If you choose not to provide your ID, we will be unable to verify your identity, execute the NDA, or proceed with training services. This requirement is necessary to protect Functional Patterns' confidential information and intellectual property, and to comply with our independent contractor agreements with licensed practitioners.

INFORMATION WE SHARE

Information You Instruct Us to Share

In connection with the Services, you may be presented with an option to have us send certain information to third parties or give them access to it. If you choose to do so, your information will be disclosed to such third parties and all information you disclose may be subject to the third-party privacy policies and practices of such third parties.

Service Providers

We may use third-party service providers to perform certain business services and may disclose your information to such service providers as needed for them to perform these business services. Service providers are only allowed to use, disclose, or retain this information to provide these services. Business services provided include, but are not limited to:

       Hosting services and cloud storage providers

       Software as a service and document management services

       E-signature platforms (e.g., DocuSign, Adobe Sign) for NDA execution and secure storage

       Communications services such as email services

       Software and website development services

       Analytics services

       Call center services

       Marketing services

All third-party service providers are required to process your data only on our instructions and to maintain appropriate security measures.

Internal Third Parties

We may share your information with our affiliated entities, successors, predecessors, assigns, licensees, or business partners, and others who may use the information for the purposes described above.

Business Transactions

We may do business with third parties to whom we may choose to sell, transfer, or merge parts of our business or our assets. Alternatively, we may seek to acquire other businesses or merge with them. If a change happens to our business, then your information may be transferred to the new owners who may use your information in the same way as set out in this Policy.

Legal Process

Subject to applicable law, we may disclose information about you (i) if we are required to do so by law, regulation or legal process, such as a subpoena; (ii) in response to requests by government entities, such as law enforcement authorities; (iii) when we believe disclosure is necessary or appropriate to prevent physical, financial, or other harm, injury, or loss; or (iv) for the purposes of cooperation with law enforcement agencies and/or in connection with an investigation of suspected or actual unlawful activity.

We do not sell, rent, or trade your personal data to third parties for marketing purposes.

International Data Transfers

Functional Patterns LLC is based in the United States. When you provide personal information and use our Services, your personal data may be transferred to and stored in the United States, which may not be subject to an adequacy decision under UK GDPR or EU GDPR.

To protect your data during international transfers, we implement appropriate safeguards, including:

1.     Standard Contractual Clauses (SCCs) approved by the UK Information Commissioner's Office (ICO) and/or the European Commission for data transfers to third countries

2.     Contractual obligations requiring US-based processors to implement technical and organizational security measures equivalent to GDPR standards

3.     Encryption and secure access controls for data in transit and at rest

You have the right to request a copy of the safeguards we have in place for international transfers. Please contact us using the details provided below.

Data Retention and Security

We retain your personal information only as long as necessary to fulfill the purposes outlined in this Policy, comply with legal obligations, resolve disputes, enforce our agreements, and as otherwise required by law. Retention periods depend on the type of data, the purpose for its collection, and applicable regulations:

After the retention period expires, we will securely delete or anonymize your personal data unless we are required by law to retain it longer (e.g., for litigation or regulatory investigation).

We apply technical and organizational security measures to protect your data against unauthorized access, loss, or misuse. These measures include:

       Encryption of data in transit (e.g., HTTPS, TLS) and at rest (e.g., encrypted storage)

       Secure access controls and password protection for systems storing personal data

       Regular security audits and vulnerability assessments of IT systems

       Contractual data protection obligations for all third-party processors

       Employee training on data protection and confidentiality obligations

       Secure disposal procedures for physical and electronic records at end of retention period

Although we take reasonable steps to safeguard your data, please note that no system is completely secure. If you believe your personal data has been compromised, please contact us immediately.

User Rights

You have the following rights regarding your personal information, where applicable by law (e.g., U.S., California, EEA/UK):

       Right to Access: Request a copy of the personal data we hold about you, including identification documents and signed NDAs.

       Right to Correction: Request that we correct inaccurate or incomplete personal data.

       Right to Deletion ("right to be forgotten"): Request deletion of your personal data where permitted by law. However, we may retain some personal data where we have a lawful basis to do so, for example where retention is necessary to comply with our legal obligations, maintain records of your consent and contractual relationship, or establish, exercise, or defend legal claims. In particular, we may retain core contract and identification records for the duration of the NDA (currently 7 years from signing) to evidence and enforce your confidentiality obligations.

       Right to Data Portability: Request a copy of your personal data in a structured, commonly used, and machine-readable format, or request that it be transmitted to another party (where processing is based on consent or contract and carried out by automated means).

       Right to Restrict or Object: Restrict or object to our processing of your personal data in certain circumstances. You may object to processing based on legitimate interests; if you object, we must stop processing unless we can demonstrate compelling legitimate grounds that override your interests, or the processing is necessary for legal claims.

       Right to Withdraw Consent: Withdraw your consent to processing (where processing is based on consent, such as for video recordings or health data) at any time, affecting future processing. Withdrawal does not affect the lawfulness of processing before withdrawal.

How to Exercise Your Rights

To exercise your rights, please email legal@functionalpatterns.com. Upon receiving a request, we will verify your identity and respond within 30 days or as required by law. California residents may exercise CCPA rights, and EEA/UK users may exercise GDPR rights free of charge unless requests are excessive or unfounded. You may also designate an authorized agent to make requests on your behalf where permitted.

Identity verification for rights requests: To protect your privacy and prevent unauthorized disclosure, we may request additional information to verify your identity before responding to a data subject access request or other rights request. This is a legal requirement under applicable data protection law.

COMMUNICATIONS AND OPT-OUT

While we value our communications with you, if you do not want Functional Patterns or its representatives to contact you for marketing purposes, you may opt-out of this preference at any time by following the unsubscribe instructions included in the email. This opt-out will not apply to operational or informational emails related to your account or other administrative purposes. You may continue to receive promotional email messages for a short period while we process your request.

CHILDREN

The Services are intended for adult use only and are not directed towards children, minors, or anyone under the age of 16. If you are under the age of 16, you are not authorized to provide us with any personally identifying information.

USE OF THE SERVICES

By accessing and using the Services, you acknowledge and agree that we control and operate the Services from our offices in the United States of America and that the Services are intended for use by users located in the United States of America. Unless expressly stated to the contrary, we make no representation that the Services are appropriate or will be available for use in other locations.

International Users and GDPR Compliance

Functional Patterns primarily serves users in the United States but does not prohibit access from international users.

·       EU/UK Users: Users from the European Economic Area and the United Kingdom may use our Services. For these users, we process personal data in accordance with the General Data Protection Regulation (GDPR) and UK Data Protection Act.

·       Legal Bases: The legal bases for processing your personal data may include your consent, our legitimate business interests, the need to fulfill a contract with you, or compliance with legal obligations.

·       International Transfers: Your data may be transferred to and processed in the United States and other countries. Where required, we use Standard Contractual Clauses or other appropriate safeguards to ensure lawful transfers and protection of your personal data.

NOTICE TO CALIFORNIA RESIDENTS

Your California Privacy Rights. California Civil Code Section 1798.83 permits California residents who have provided personally identifiable information to us or our third-party advertisers and marketing partners, if any, to request certain information regarding our disclosure of personally identifiable information to third parties for their own direct marketing purposes. Requests should be submitted via email to legal@functionalpatterns.com and should include CALIFORNIA PRIVACY RIGHTS in the subject line. Please be aware that not all information sharing is covered by the requirements of Section 1798.83 and only information on covered sharing will be included in our response. This request may be made no more than once per calendar year.

Your 'Do Not Track' Browser Setting. Some web browsers incorporate a Do Not Track ("DNT") feature that signals to the websites that you visit that you do not want to have your online activity tracked. At this time, our website does not respond to DNT signals. Functional Patterns may allow certain third-party advertising partners to place tracking technology, such as cookies and pixels on our websites. This technology allows us and/or third parties to collect personally identifiable information about your online activities over time and across different websites.

Mobile Terms of Service

The Functional Patterns mobile message service (the "Service") is operated by Functional Patterns ("Functional Patterns", "we", or "us"). Your use of the Service constitutes your agreement to these terms and conditions ("Mobile Terms"). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to Functional Patterns's SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Functional Patterns through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Functional Patterns. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to +18555999785 or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Functional Patterns mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
